Connect IoT Terms and Conditions of Use

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Connect IoT, LLC (“Connect IoT,” “we,” “us,” or “our”) and any person or entity (“you,” “your,” or “user”) accessing or using our mobile applications, websites, and services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, you must cease use immediately.
I. Overview and Scope
- Services Provided: Connect IoT develops software platforms, including but not limited to SentryEye, Smartlink, VigilPro, and others, which facilitate enhanced functionality and insights for IoT devices installed at properties you are affiliated with.
- Role of Connect IoT: Connect IoT provides software platforms to enable property owners and managers to access additional features and functionality from their devices. Connect IoT does not own, operate, manage, maintain, or control these devices, nor does it have any contractual relationship with you regarding their operation or use.
- No Liability for Devices or Issues Between User and Property: All devices are owned, managed, and maintained by the property you are affiliated with. Any issues, disputes, or concerns regarding device functionality, usage, or outcomes must be resolved solely between you and the property. Connect IoT is not responsible for such issues or disputes.
II. Eligibility and User Accounts
- Eligibility: You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. Minors may use the Services only under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
- Account Responsibility: To access certain features of the Services, you may need to request your property management team to activate them. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. Connect IoT is not liable for unauthorized account access. Do not share your account or allow others to use it as it will result on the suspension of your account by the property.
IIl. Use of the Services
- Limited License: Connect IoT grants you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for their intended purposes.
- User Responsibility for Device Operation: You are solely responsible for all actions, commands, or configurations initiated through the Services. Any damage or malfunction caused by user error or improper use of the devices is your sole responsibility. Connect IoT expressly disclaims any liability for user actions or misuse.
- Prohibited Activities: You agree not to:
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the Services.
- Use the Services for unlawful, harmful, or fraudulent purposes.
- Modify, resell, or distribute any part of the Services without Connect IoT’s prior written consent.
IV. Disclaimers of Responsibility and Liability
- No Relationship Beyond Software Provision: Connect IoT serves exclusively as the provider of the software facilitating the functionality of devices installed at the property. Connect IoT is not responsible for:
- The ownership, maintenance, or management of any devices.
- Any agreements, disputes, or obligations between you and the property you are affiliated with.
- The resolution of operational, technical, or performance issues with devices.
- No Warranty of Device or Service Performance: The Services are provided "as is" and "as available." To the fullest extent permitted by law, Connect IoT disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
- No Emergency or Critical Use: The Services and associated devices are not certified for emergency response or critical life-safety applications. Users are responsible for ensuring alternative arrangements for such purposes.
- Exclusion of Liability: To the maximum extent permitted by law:
- Connect IoT is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Services, including but not limited to device malfunction, property damage, or data loss.
- All liability for the operation, configuration, and management of devices rests with the property owners and managers.
V. Data Collection and Privacy
- Data Collection: By using the Services, you consent to the collection and processing of usage data, operational logs, and other information necessary for the functionality of the Services. Please refer to our Privacy Policy for more details.
- Data Responsibility: While Connect IoT employs reasonable measures to protect user data, it cannot guarantee absolute security. Users are advised to safeguard their own devices, accounts, and network environments.
VI. Third-Party Integrations and Devices
- Third-Party Devices: Connect IoT Services may interact with third-party devices or products that are managed by the property. Connect IoT does not own or control these devices and is not responsible for their functionality, performance, or compliance.
- Issues with Devices: Any concerns regarding the operation, installation, or maintenance of devices must be directed to the property or the third-party provider. Connect IoT is not liable for any issues related to these devices.
VII. Dispute Resolution and Arbitration
- Disputes Between You and the Property: All disputes, claims, or issues related to device ownership, operation, or performance are solely between you and the property you are affiliated with. Connect IoT is not a party to or responsible for resolving such disputes.
- Disputes Involving Connect IoT: In the unlikely event of a dispute directly involving Connect IoT, such disputes will be resolved through binding arbitration under the rules of the American Arbitration Association.
- Class Action Waiver: You agree not to participate in any class action lawsuits or class-wide arbitration against Connect IoT.
VIIl. Termination
- Termination by Connect IoT: Connect IoT reserves the right to suspend or terminate your access to the Services at any time, with or without notice, for violations of these Terms or applicable laws.
- Effect of Termination: Upon termination, your license to use the Services will immediately cease, and you must discontinue all access and usage.
IX. General Provisions
- Governing Law: These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict of laws principles.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
- Entire Agreement: These Terms constitute the entire agreement between you and Connect IoT regarding the use of the Services.
